ESTABLISHED BUSINESS SERVICE

A. IMPLEMENTATION PROCEDURE

Reference forms that are not specified in the appendix attached to Official Dispatch No. 4211/BKHDT-DKKD of the Ministry of Planning and Investment guiding the order and procedures for business registration are for reference only. Enterprises need to research and update new content according to the provisions of the 2014 Enterprise Law to record in Decisions, Meeting Minutes, and Charters (reference form).

Caution 1. Do not write your name on the form to submit the application, do not use a stapler to press the application (use double clips), the application must use A4-sized paper.
2. Each individual is only entitled to register to establish a private enterprise or a business household or become a general member of a joint venture company, unless the remaining joint members have agreed otherwise.
The order of execution

* Step 1: Enterprises prepare complete documents according to regulations.
* Step 2: Enterprises submit documents at the Business Registration Office
+ Hours from Monday to Friday every week: Morning from 7:30 a.m. to 11:30 p.m. and afternoon from 1:00 p.m. to 5:00 p.m. Saturday: Morning from 7:30 a.m. to 11:30 a.m.
+ Take your order number and wait your turn
* Step 3: The Business Registration Office checks the validity of the dossier and resolves the business's dossier.

* Step 4: Based on the appointment date on the Receipt, the business goes to the Business Registration Office to receive the results of document processing or registers to receive the results at the registered address where the business returns the results by post.

Ingredients and quantity of records

A. Documents

  1. Please download the Business Registration Application form according to the prescribed form.
  2. Valid copy of one of the valid personal identification documents of the private enterprise owner: Identity card or Passport
  3. Table of contents (write in the above order)
  4. File cover (made of thin paper or hard plastic without letters used for other purposes)
  5. Applicant information declaration (reference form).

B. File quantity: 01

Requirements and conditions for implementing procedures

Enterprises are issued a Business Registration Certificate when they meet the following conditions.

  1. The registered business lines and professions are not in the prohibited business areas. For industries and professions that require declarative capital, the charter capital cannot be lower than the declarable capital.
  2. The name of the enterprise is placed in accordance with the provisions of the law.
  3. Has a head office according to the law
  4. Have valid business registration documents according to legal regulations
  5. Submit all business registration fees according to the law.
  6. The business owner is not at the same time the owner of another private enterprise, the owner of a business household, or a member of a partnership.

  • Law on Enterprise No. 68/2014/QH13 dated November 26, 2014 of the National Assembly of the Socialist Republic of Vietnam
  • Decree No. 102/2010/ND-CP dated October 1, 2010 of the Government detailing the implementation of a number of articles of the Enterprise Law
  • Decree No. 43/2010/ND-CP dated April 15, 2010 of the Government on business registration
  • Decree No. 05/2013/ND-CP dated January 9, 2013 of the Government amending and supplementing a number of provisions on administrative procedures of Decree No. 43/2010/ND-CP dated April 15/ 2010 of the Government on business registration
  • Circular No. 01/2013/TT-BKHDT dated January 21, 2013 of the Ministry of Planning and Investment
  • Circular No. 176/2012/TT-BTC of the Ministry of Finance October 23, 2012 on business registration fees and charges.
